The Constitution of Oakdale Rugby Football Club
The club shall be called Oakdale Rugby Football Club
The objects of the club shall be to
a) promote interest and understanding in the playing of the game of Rugby Football in accordance with the laws and rules of the Welsh Rugby Union and adhere to a strictly amateur ethos at all times with no direct or indirect financial payment being made to any playing member for representing the club
b) provide such social amenities for the members as are approved by the General Committee.
The Club colours shall be red and white hooped jerseys and stockings with black shorts
The property and assets of the Club shall be vested in the Trustees upon trust for the club and when so directed by the General Committee of the Club to sell, let, mortgage or otherwise deal with the same. Provided that no person taking a title from the Trustees in good faith for valuable consideration shall be concerned to see that the transaction is duly authorised or that it is properly done under the rules and in favour of any such person or any Conveyance, Assurance or Discharge made or given by the Trustees shall be fully effective as if they were absolute owners.
The number of the Trustees shall not be less than two nor more than four and shall be appointed only at a General Meeting by a resolution of a majority of members present and entitled to vote thereat and shall remain in office during the pleasure of the Club.
5: FINANCIAL YEAR
The financial year shall be from 1st May to the 30th April
The members of the Club shall have attained the age of 18 years and shall consist of
(A) Life Members (B) Ordinary Members (C) Honorary Members
(D) Playing Members (E) Lady Members (F) Social Members
(A) LIFE MEMBERS
Life Members may be named and elected at an Annual General Meeting only on the recommendation of the General Committee and shall be entitled to all the privileges of the Club as an Ordinary Member
(B) ORDINARY MEMBERS
Ordinary Members shall be those persons who after election as a member of the Club by the General Committee continue to conform to the provisions of these rules
(C) HONORARY MEMBERS
The General Committee shall be entitled to confer the privilege of Honorary Membership on any person who in its opinion merits this honour but such persons may not be entitled to the privileges of membership without an interval of at least two days between their becoming members and their admission, nor shall there at any time be more than twenty such Honorary Members
(D) PLAYNG MEMBERS
Playing members shall be those members who are regular football players as certified as such by the General Committee
(E) LADY MEMBERS
Lady members shall be females who after election as a member of the Club by the General Committee shall continue to conform to the rules of the Club Lady members shall enjoy the privileges of Ordinary Members except that they shall not be qualified to be Officers or Trustees of the Club or members of the General Committee, or to claim any share of the Club property upon its dissolution
(F) SOCIAL MEMBERS
Social Members shall be those members who after election as a member of the Club by the General Committee shall continue to conform to the rules of the Club
Social Members shall enjoy the privileges of ordinary Members except that they shall not be qualified to be Officers or Trustees of the Club or members of the General Committee, or to claim any share of the Club property upon its dissolution
Subscriptions shall be as fixed from time to time by the Annual General Meeting
8: ELECTION OF MEMBERS
Every applicant for membership of the Club shall be nominated by two members who shall sign the nomination form providing the name and address of the candidate, and such application form shall be delivered to the Secretary, who shall cause notice of the nomination proposed for election to be displayed on the notice board at least seven days prior to the meeting of the General Committee and at which such nomination is to be considered
Members will be elected by ballot by the General Committee for which purpose five shall form a quorum. A candidate for election who receives the votes of a majority of the General Committee present shall be declared elected.
9: ADMISSION OF NON MEMBERS
Subject to the approval of the General Committee in each case the following classes of Non Members may be admitted to the Club premises and intoxicating liquors may be sold to them by or on behalf of the Club for consumption by them on the premises within the provision of Section 49 of the Licensing Act 1964:-
(A) Members of teams visiting the Club’s grounds or premises in connection with any sporting event together with any non-playing officials and supporters accompanying such teams
(B) Members of concert parties visiting the Club in connection with any social event
(C) Persons attending any private dinner, luncheon or any similar function which includes a substantial meal provided under arrangements made by the General Committee with a member and paid for by that member
(D) Persons attending any dinner and/or dance organised by an outside organisation or association (not exceeding 12 such functions in any one year)
Before admission each such Non-Members in paragraphs A, B, C, and D above shall write his name and address with particulars of the function or event in question in the book to be kept for that purpose and in the case of organised teams and parties one person must register
10: TERMINATION OF MEMBERSHIP
Any member may resign his membership by giving notice of his registration to the Secretary in writing. The General Committee may terminate the membership of any person who after receiving due notice in writing from the Secretary that he is in arrears with his subscriptions fails to pay such subscriptions within fourteen days of said notice, in which circumstances provisions of Rule 11 shall not apply. Any person ceasing to be a member of the club whether by resignation or otherwise shall forfeit all such rights as such
11: EXPULSION OF MEMBERS
Any member guilty of a breach of these rules or any By-Law or Regulation which may be prescribed by the General Committee or guilty of misconduct or otherwise acting in a manner deemed inconsistent with the interest of the Club may vote of not less of two thirds of the members present and voting at a meeting of the General Committee called for that purpose or for which special notice has been given, at which meeting the member shall have a right to appear, be expelled from the Club or suspended for such period as the General Committee think fit.
Any person so expelled shall thereupon cease to be a member and forfeit all rights as such
Seven clear day’s notice shall be given of any such meeting of the General Committee
12: SUSPENSION OF MEMBERS
Any Member whose conduct is such that may render him liable to expulsion or suspension for a period, may be suspended forthwith until his case has been considered by the General Committee in accordance with the provision of Rule 11
Pending the operation of Rule 11 a Member may be suspended for a period not exceeding fourteen days on the decision of not fewer than two Members of the General Committee
The Officers of the Club shall be a Chairman, Vice-Chairman, Secretary, Fixture Sec & Treasurer elected by the AGM
Nominations for New Officers that is other than the presiding Officers must be proposed and seconded and in the hands of the Secretary fourteen prior to the Annual General Meeting. Elections will be by written ballot
14: GENERAL COMMITTEE
The management of the Club (except as otherwise provided by these Rules) shall be deputed to a General Committee of not more than twelve members who shall be elected at the Annual General Meeting by written ballot, plus the Club Captain and the Officers.
The General Committee in addition to the powers hereby specially conferred upon it shall have the control of the finances of the Club, the power to engage, control and dismiss Club servants and all such administrative powers as may be necessary for properly carrying out the objects of the club in accordance with these Rules.
The General Committee shall make such regulations consistent with these general rules as they shall think necessary for the welfare of the Club, provided that no such regulations shall conflict with these rules.
Any casual vacancy occurring among the elected Members of the General Committee shall be filled by the General Committee until the next Annual General Meeting.
The General Committee shall have powers to elect Sub-Committees in order to put into full operation and effect the objects and purposes of the Club, and minutes of their proceedings shall be entered in a book to be kept for that purpose.
The following Sub-Committees have been created to meet the future needs of the Club & to allocate & distribute the work equitably.
(A) EXECUTIVE COMMITTEE
Four Officers & Team Manager
(B) FINANCE COMMITTEE
Treasurer and five Committee to monitor finances and employees of the Club and generally to manage the available resources. Reporting to the General Committee
(C) MATCH COMMITTEE
Team Manager, Fixture Secretary, Press Officer, Technical Advisor, Senior Coaches, Captains 1st and 2nd XV
(D) SELECTION COMMITTEE
Team Manager, Senior Coaches, Club Captain, reporting to the General or Executive Committee
Chairman and three Committee to generate sufficient additional finances to meet our requirements within the Heineken League structure. Reporting to the Executive Committee
Vice Chairman and four Committee to identify, plan & prioritise schemes for improving facilities which will benefit and promote the Club. Reporting to General Committee
(G) ROSTERING AND KIT
Secretary and three Committee to oversee and plan the rostering of duties on a week by week basis to ensure gatemen, kit men and other ‘ad hoc’ duties are fully rostered
An Officer of the Club must be included on any Sub-Committee which affects the running of the Club. Unless an Officer is so included, the Sub-Committee will have no voting powers, but may be allowed to participate in discussions within the Club’s framework.
Seven members of the General Committee present shall form a quorum save in relation to Rule 8 hereof.
Any member of the General Committee failing to attend three consecutive meetings without giving an acceptable reason, shall be deemed to have resigned.
17: HOURS OF OPENING AND CLOSING OF CLUB PREMISES
The Club shall be open to Members on such days and between such hours as the General Committee may from time to time determine.
18: PERMITTED HOURS FOR THE SUPPLY OF INTOXICATING LIQUORS
The permitted hours for the sale of intoxicating liquors will be such as may from time to time be determined by the General Committee in accordance with the provisions of the Licensing Act 1964 and as notified to the Magistrates Clerk provided that if an Order is made under Section 5, Sub-section 3 or 4 of the said act, the provisions of Sub-section 8 shall apply.
19: REGISTER OF NAMES AND ADDRESSES OF MEMBERS
The General Committee shall keep at its office a list of Members names and addresses. Every Member shall within fourteen days give notice to the Secretary of any change in his or her address. The names of those who cease to be Members for any reason whatsoever shall be erased from the list
20: GAMING AND DRUNKENESS ETC.
No contravention of the Betting and Gaming Acts, drunkenness, bad language or misconduct shall be committed on the Club premises. Any member offending this rule shall be dealt with under Rule 11
Any Officer or two Committee men shall be empowered to order any Member offending under this Rule to withdraw from Club premises pending the next meeting of the General Committee.
Subject to such conditions as the General Committee shall from time to time determine, Members may introduce guests to any part of the Club premises or property which is not specifically reserved for the sole use of Members,
The General Committee shall have the right to withdraw this general privilege or refuse admission to any particular guests without giving any particular reason for its action. Members who introduce a guest shall be responsible for entering the name and address of such person in the book provided for that purpose. NO guest shall be permitted to order or pay for any excisable liquor. Guests must leave the Club before or at any time as members introducing them. NO guests shall be provided with excisable liquor except at the invitation of and in the company of a Member. If a guest occasions any damage to the property of the Club either wilfully or through improper use, the Member introducing such a Guest shall be responsible for causing the same, to be replaced or made good as the General Committee shall decide. NO member shall be entitled to introduce the same person as a guest on any one occasion, nor shall any member be entitled to introduce the same person as a guest on more than one occasion in any calendar month.
22: ANNUAL GENERAL MEETING
The Annual General Meeting shall be held within three months of the end of the financial year or as soon as practical, for the purpose of electing Officers and members of the General Committee for the succeeding year and to receive from the General Committee a report and audited statement of accounts and a report upon the general affairs of the Club for the past year.
Fourteen days’ notice posted on the notice board must be given stating the time and agenda
23: EXTRA-ORDINARY GENERAL MEETING
(A) Extra-ordinary meetings of the Club shall be held as and when the General Committee consider necessary, or upon written request by at least ten members of the Club to the Secretary.
(B) Fourteen clear days’ notice of all extra-ordinary meetings must be given, posting same upon notice board
(C) No business shall be transacted at any extra-ordinary meeting other than such as shall be stated in the notice calling such a meeting or as shall be allowed by the Chairman as fairly arising out of such notice of meeting
24: GENERAL MEETING
(A) The Chairman or in his absence the Vice Chairman or in his absence the nominee of the General Committee shall preside at all general meetings
(B) All decisions at a general meeting shall be by simple majority of the Members present unless otherwise stated in these rules
(C) The Chairman of the general meeting shall decide whether voting be by ballot or by show of hands. In the event of a ballot being ordered, Members present shall appoint two scrutineers
Copies of the rules shall be available at the Clubhouse and a copy made available to each Member on election
26: INTERPRETATION OF RULES
The General Committee shall be sole authority for interpreting the Rules, By-Laws and Regulations of the Club and for settling all disputes relating to the affairs of the Club or to the conduct of visitors or members
27: ALTERATION OF RULES
These rules other than Rules 2 & 4 maybe amended at the Annual General Meeting or Extra-ordinary Meeting called for that purpose. Notice of any proposed amendment shall be posted on the Club notice board for at least 14 days previous to the meeting to which the amendment is to be submitted. Any amendment shall require the votes of at least two thirds of the Members present at such meeting.
28: BORROWING POWERS
If at any time the Club shall in an Annual General Meeting or Extra-ordinary Meeting pass a resolution authorising the General Committee to borrow money, the General Committee shall thereupon be empowered to borrow for the purposes of the Club such an amount of money either at one time or from time to time, and at such rate of interest and in such form and manner, and upon such security as shall be specified in such resolution, and thereupon the Trustees shall at the direction of the General Committee make all dispositions of the Club property or any part thereof and enter into such agreement in relation thereto as the General Committee may deem proper for giving security for such loans and interest. All members of the Club after passing of such resolution shall be deemed to the same as if they had voted in favour of such resolution.
Accountants shall be appointed to act as Auditors for the ensuing year. They shall have access to all books and accounts funds and effects of the Club and shall submit to the General Committee and subsequently the Annual General Committee shall be eligible to serve as an Auditor
The Trustees, Officers and members of the General Committee shall have a right to indemnity against and refurbishment out of the funds and property of the Club in respect of any claim brought against them with regard to the acts done or omitted in their respective capacity, so long as such acts or omissions are within the scope of their authority.
31: CAPTAIN SELECTION
The 1st and 2nd Team Captain shall be elected at the Annual general Meeting from nomination or nominations by the Selection Committee
